If something changes in your company, such as the address, a director or the activities, you report it to the Dutch Chamber of Commerce (KVK) within a week. You report a change in the ultimate beneficial owners (UBOs) within seven days.
What you report to the KVK
- A new address for the company.
- A new or departing director.
- Different activities or a new trade name.
- An extra branch.
You report a change at the latest one week after it happens. You report most changes online, with a form or with eHerkenning, the Dutch business login.
The UBO register
UBO is short for ultimate beneficial owner (uiteindelijk belanghebbende). That is anyone with more than 25% of the shares or the voting rights, or with actual control over the company. At incorporation, the notary already registers the UBOs. If something changes, for example through a sale of shares, you report it within seven days.
Changes through the notary
A transfer of shares and a change to the articles of association go through the notary. The notary reports a change to the articles to the KVK. After that, update your shareholders’ register (aandeelhoudersregister) yourself and check the UBO register.
The Dutch tax office
The KVK passes changes in the Business Register (Handelsregister) on to the Dutch tax office (Belastingdienst). You report a new bank account number for refunds yourself, in Mijn Belastingdienst Zakelijk.
