What triggers an update
- A share transfer that moves someone past — or under — the 25% ownership line.
- A change in control by other means: voting agreements, veto rights, statutory control.
- New or departing board members in structures where control defines the UBO.
- Changes in the registered person’s details.
The filing
The update runs through the KVK, filed by the company itself, promptly after the change — within a week is the working standard. The chain around it
Banks, notaries and advisers verify clients against the register and report mismatches. A stale UBO file surfaces at the worst moments — a financing, a sale — so the update belongs in the same routine as the KVK changes and the shareholder register: one change, three registers, one afternoon.
