The two burdens, side by side

If you take the profit out, you pay a lot of tax. The top personal rate is near 49.5%. Through a company, you pay 25.8% corporate tax (VPB) plus 31% box 2 tax on the dividend, about 48.8% combined on the top part. If you keep the profit in the company, the rate is 19% on the first €200,000 and 25.8% above that. You pay box 2 tax only when you take money out. On €1 million of profit, roughly €745,000 stays in the company each year.

What a holding company gives you at this level

  • An investment portfolio at company scale. Index positions, private deals and property, funded with 74-cent euros, compared with 51-cent euros.
  • A sale, prepared in advance. When a holding company owns the operating company, the holding is exempt from tax on a later sale of the channel, brand or media business. This is because of the participation exemption. At seven figures, this saving is larger than any yearly tax saving. See selling your channel or brand.
  • Family choices. Adding a partner to the holding, gifting within the exemptions, and building a pension all work better from a holding company than from a personal account.

What you live on

First, you pay yourself at least the customary salary: €58,000 in 2026. It can be lower only in a few cases, for example while a new BV is still unable to pay it. Then you take dividends up to the 24.5% bracket, which is twice as large with a fiscal partner. You and your fiscal partner can also borrow up to €500,000 together from your own BV (besloten vennootschap, the Dutch private limited company) for private spending. A secured loan for your own home falls outside that limit. The lower salary is what saves tax. At €36,000 compared with €58,000, you keep about €7,100 a year more. After a later dividend, about €2,800 of that remains. The loan gives you access to money, but your tax stays the same. Calculate it with your own figures. The rest stays invested in the company.

A caution at this level

At this level, get professional help with substance, a salary you can defend and correct paperwork. Prepare well, because a rushed setup costs money later. Start at start here. The first step is a written review of your situation.
