An energy trading entity in the Netherlands

European energy trades against Dutch reference points: natural gas prices across the continent settle against the TTF — the Title Transfer Facility, the Dutch virtual trading point that became Europe's gas benchmark — while the ARA hub (Amsterdam–Rotterdam–Antwerp) is the continent's largest oil-products, storage and bunkering complex.

For producers and trading houses from the Gulf, Africa, Asia and the Americas, that concentration answers the where-question: the entity that trades, hedges and contracts European energy naturally sits where the benchmark and the barrels are. The Dutch BV is that entity.

What the Dutch entity carries

The trading BV holds the counterparty relationships European energy runs on: TTF-based gas contracts, oil-products flows through ARA storage, and the offtake and hedging agreements European buyers prefer to sign with a European entity under EU law. Physical flows use the customs instruments the Netherlands is built around — bonded storage that suspends duty and VAT while product waits for its market (customs warehousing), the Article 23 licence for import VAT on cleared goods, and an EORI number in the entity's own name.

The structure above the trades

Energy ventures run on joint ventures and project companies, and the Dutch holding carries them well: the participation exemption moves dividends and exit gains from qualifying stakes to the parent free of Dutch corporate tax, the treaty network spans the producing world, and the Dutch JV holding is the established vehicle for exactly this. Compliance rides along: gas, LNG and power positions on European venues bring REMIT and market-conduct duties, and hydrogen sits inside CBAM from the first unit.

Routes by flow

LNG into Europe — the Gate terminal, TTF hedging and the buyer's market since REPowerEU. Oil products through Rotterdam — ARA storage, blending and bunkering. Hydrogen and ammonia — the import corridors now being built, and why the entity question arrives before the molecules.

Setting up in the Netherlands

A Dutch BV is incorporated by notarial deed and registered with the Chamber of Commerce (KvK); incorporation runs remotely by power of attorney, with the parent holding the shares. After registration the BV obtains its VAT and EORI numbers and the licences its flow requires. Holdwise builds the entity and the group structure; sector permits and regulated-market admissions run with specialised counsel, coordinated in writing. The wider route: EU market entry.

Frequently asked questions

Why do energy traders establish in the Netherlands?

Europe's gas benchmark (TTF) is a Dutch virtual trading point, the ARA complex is the continent's largest oil-products and storage hub, and Rotterdam is Europe's largest port — the counterparties, brokers and infrastructure sit in one jurisdiction.

What customs instruments does the Dutch entity use?

Bonded (customs) warehousing suspends duty and VAT while product is stored or blended; the Article 23 licence moves import VAT on cleared goods into the periodic VAT return; and the BV holds its own EORI number.

How are joint ventures and project stakes held?

Through a Dutch holding above the trading BV: the participation exemption moves dividends and exit gains from qualifying stakes (5% or more) to the parent free of Dutch corporate tax, under one of the world's widest treaty networks.

What does Holdwise do, and what runs with specialised counsel?

Holdwise builds the entity and the structure — BV, holding, ownership chain, substance. Venue admissions, REMIT registrations and sector permits run with specialised counsel, coordinated entirely in writing.
