A Dutch BV for the Rotterdam Hydrogen and Energy Corridor

Rotterdam is where hydrogen, ammonia, LNG and oil products enter Northwest Europe, and where the pipelines to the Ruhr start. Saudi Arabia, the UAE and Oman are building export capacity for that corridor; Air Products, Gasunie, Vopak and the port are building the receiving side. The terminals are running late, and the first commercial volumes are a 2028 to 2030 story. The companies that supply this chain are setting up their European entity now, because the contracts are being written now.

Why the counterparty wants a Dutch company

Port authorities, terminal operators, grid companies and the large energy groups contract with EU entities. Three practical reasons sit behind that: liability and insurance under Dutch law, VAT and customs handled by an EU-registered company, and the CBAM obligation that rests on the EU importer of hydrogen and ammonia from 2026. A Dutch BV meets all three and is incorporated in days.

Who is setting up, and what they need

Technology suppliers (electrolysers, compressors, cracking, measurement): a BV to sign supply and service contracts, employ field engineers under Dutch law and reclaim Dutch VAT. Often a subsidiary of a German, Spanish or Gulf parent.

Engineering and inspection firms: a BV that can be named in the tender and carry professional liability insurance in the Netherlands.

Storage, logistics and shipping agents: a BV with EORI and Article 23, and a registered address in the port region.

Gulf-based groups: the route from the UAE, Saudi Arabia or Oman, including legalisation and the bank, is on setting up a Dutch BV from the Gulf.

Timing

The import terminals in Rotterdam have been delayed and the first large volumes are expected between 2028 and 2030. That is not a reason to wait. Framework agreements, pre-qualification and tenders run two to three years ahead of first delivery, and a company that exists, has a VAT number and a Dutch address can be named in them. A company that still has to be incorporated cannot.

Frequently asked questions

Do we need staff in the Netherlands?

Not to incorporate. For tax residency and for the bank, real management in the Netherlands matters more than headcount. Many suppliers start with a Dutch director and a registered address and hire field staff once the first contract is signed.

Can the BV import ammonia under CBAM?

Yes, once it is registered as authorised CBAM declarant. The BV files the quarterly reports and buys the certificates; the customs broker handles the border side.

Subsidiary or holding?

A subsidiary if your parent company owns it. A Dutch holding above the operating BV if the founders own it privately: profits and a future sale then reach the holding free of Dutch tax.
