Shareholder Meetings of a Dutch BV: Rules and Obligations

Every Dutch BV (besloten vennootschap, the Dutch private limited company) must take certain decisions formally, as shareholder decisions. In a BV with one shareholder, a written resolution replaces the meeting, and this resolution is still mandatory. In a BV with several shareholders, the rules are much more important. When shareholder meetings are required

Shareholders meet at least once a year, or decide in writing, to adopt the financial statements (jaarrekening). The board prepares them within 5 months of year-end (the shareholders can extend this by up to 5 months in special cases). The shareholders then adopt them within 2 months. They also decide on specific matters: changes to the articles of association, capital changes, mergers, dissolution, dividend distributions, and director appointments or dismissals.

Single-shareholder BV

If you are the only shareholder, a written shareholder resolution (besluit van enig aandeelhouder) replaces the formal meeting. Sign and date the resolution and file it in your corporate book. You can skip the meeting, but you must keep the documents. The Tax Authority and the Dutch Chamber of Commerce (KVK) can ask for these records.

Multi-shareholder BV

Each year, the BV organises at least one meeting, or the shareholders decide in writing if everyone with meeting rights agrees to that. The notice period is at least 8 days, or 14 days if shareholders can attend online. The rules for the quorum and for voting are in the articles of association. The minutes (notulen) must be kept and signed.

Common decisions requiring shareholder approval

Dividend distributions, share issuance, changes to articles of association, dismissing directors, large transactions outside the ordinary course of business, mergers and acquisitions, and dissolution.

Frequently asked questions

Is an annual shareholder meeting mandatory for a single-shareholder BV? +

A written resolution adopting the annual accounts can replace a formal meeting. Sign and date the resolution, and keep it in the corporate records.

What happens if I miss a shareholder decision? +

Decisions that lack proper shareholder approval can be void. For tax-relevant decisions (dividends, salary), the Tax Authority may reclassify the transaction. For this reason, record every decision.

Can shareholder meetings take place online? +

Yes, fully online meetings are allowed if the articles of association permit it. Video conferencing is fine, and voting can be electronic if properly recorded.
