Core IP usually stays where the R&D lives — Israel — and treaties price the cross-border licence at arm’s length. The Dutch layer adds value where European exploitation is real: EU licensing run from the BV, development teams in the Netherlands feeding the innovation box, and the substance to carry it per treaty benefits and substance.
The exit mechanics
A Dutch holding above the EU operation sells that operation under the participation exemption — the gain lands exempt at holding level, ready to redeploy. Buyers value the packaging: one entity, clean registers, the housekeeping done.
Sequencing
Start with the operating BV when Europe starts; add the holding before value accumulates — restructuring early is a signature, restructuring late is a project. The decision belongs in writing with the advisers on both sides of the Mediterranean.
