The five core tasks

  • Shareholder register: the BV’s own record of who holds which shares. Every transfer, issue or pledge lands here, matching the notarial deeds.
  • UBO register: the public register of ultimate beneficial owners at the KVK. Changes in ownership or control belong there within seven days.
  • Board and shareholder resolutions: dividend decisions, director appointments and annual account adoption, documented so the paper trail matches reality. How a proper dividend decision works: Dutch dividend tax 2026.
  • KVK changes: new directors, a new address, changed activities — each files with the business register promptly.
  • Annual accounts filing: adoption by the shareholders, then filing at the KVK within eight days of adoption and at the latest twelve months after year-end. For a calendar-year BV that means 31 December of the following year.

Why this deserves a fixed routine

Directors of a BV are personally responsible for timely filing. A fixed yearly routine — adopt, file, confirm — keeps that responsibility comfortably covered and keeps banks, notaries and buyers happy during due diligence. Companies with clean registers move faster in every transaction: financing rounds, share transfers and exits all start with these documents.

Costs in 2026

A standard secretarial package for a single BV runs €500 to €1,500 per year, depending on the number of changes and resolutions. Groups with a holding and operating company typically stay under €2,500 for the whole structure. Within the Holdwise route, the package is part of one written proposal with one fixed price.

Where it connects

Secretarial work is the quiet layer under everything else: corporate services for the full operational picture, BV incorporation for new structures, and the compliance deadline calendar for every date in one view.
